01 Introduction & Acceptance

These Terms & Conditions ("Terms") govern your access to and use of the Riwe Media website and all services offered by Riwe Media LLC ("Company", "we", "us", "our"), including creator management, content direction, paid contract programs, brand collaborations, and any related communications.

By visiting our website, submitting an application, or participating in any Riwe Media program, you ("User", "Creator", "Applicant") confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

02 Eligibility

To apply to and participate in Riwe Media programs, you must:

• Be of the legal age required to enter into a binding contract under the laws of your country of residence.
• Have access to a device (smartphone, PC, or laptop) suitable for creating social media content.
• Have a valid email address and phone number for communications.
• Be willing and legally permitted to participate in content creation activities.
• Not be subject to any legal restrictions that would prevent you from entering into this agreement.

We reserve the right to request proof of age or identity at any point. Providing false information is grounds for immediate disqualification or termination.

03 Services Provided

Riwe Media provides the following services to accepted participants:

• Creator Scouting & Management — We identify promising emerging creators and manage the structure around their creator work.
• Content Direction & Campaign Planning — Guidance on content formats, campaign ideas, and feedback on your work.
• One-Month Paid Contract — Selected creators may be offered an official one-month agreement with a fixed payment, a defined number of videos, and clearly written conditions agreed before the start.
• Brand Collaborations — We connect creators with small and mid-sized brands in their country or region that want to promote their products through social media.
• Growth Support — Ongoing guidance for building a long-term creator career.

Participation in any paid program is subject to a separate written agreement communicated upon selection. Applying does not guarantee acceptance into any program.

04 Application Process

By submitting an application through our website, you acknowledge and agree that:

• All information you provide is accurate, complete, and truthful.
• Submission of an application does not constitute acceptance into any program.
• The Company reserves the right to accept or decline any application at its sole discretion, without obligation to provide a reason.
• Selected applicants will be contacted via the contact details provided in the application.
• The Company may retain your application data in accordance with our Privacy Policy.

05 Brand-Safe Content Only

Riwe Media works exclusively with mainstream social media platforms — Instagram, Facebook, TikTok, and YouTube — and exclusively with brand-safe campaigns.

Any attempt to use our programs for content or platforms of that nature — by a creator, a brand, or a third party — will result in immediate termination of cooperation.

06 Creator Obligations & Code of Conduct

All creators participating in Riwe Media programs agree to:

• Maintain a professional and respectful standard of conduct in all interactions and content.
• Not produce or distribute content that is illegal, hateful, discriminatory, sexually explicit, or otherwise in violation of the terms of the social media platform being used.
• Not impersonate any person or organisation, or misrepresent your affiliation with Riwe Media.
• Comply with all applicable local, national, and international laws in your jurisdiction.
• Not engage in fraud, manipulation of metrics, or any activity that artificially inflates performance statistics.
• Follow the agreed content plan and communicate promptly with your manager.
• Promptly notify Riwe Media of any change in your contact details, legal status, or eligibility.

Violation of these obligations may result in immediate termination of participation and, where applicable, forfeiture of any pending payments.

07 Payments

Where a paid contract or compensation arrangement applies:

• Payment terms, rates, and schedules are specified in a separate written agreement provided upon acceptance into the paid program.
• The fixed payment is made upon completion of the agreed amount of content in accordance with the individual agreement.
• The Company reserves the right to withhold or adjust payments in cases of suspected fraud, breach of these Terms, or failure to meet the agreed conditions.
• All payments are made in the currency specified in your individual agreement. The Company is not responsible for exchange rate fluctuations or bank charges.
• Tax obligations arising from payments are the sole responsibility of the creator. Riwe Media LLC does not provide tax advice.

08 Intellectual Property

All content on the Riwe Media website — including text, graphics, logos, images, and software — is the property of Riwe Media LLC and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from any Company content without prior written permission.

Content you create as part of a Riwe Media program remains your intellectual property unless otherwise agreed in writing. By participating, you grant Riwe Media a non-exclusive, royalty-free licence to feature your creator profile, clips, or statistics in our promotional materials, subject to your right to withdraw consent at any time.

09 Third-Party Platforms

Riwe Media operates within the ecosystems of third-party social media platforms (Instagram, Facebook, TikTok, YouTube, and others). Use of those platforms is governed by their own terms of service, and we are not responsible for any decisions, suspensions, or policy changes made by those platforms.

Our website may contain links to third-party websites. We are not responsible for the content or privacy practices of those sites.

10 Disclaimer & Limitation of Liability

The Riwe Media website and program materials are provided on an "as is" basis. We make no warranties, express or implied, regarding the accuracy, completeness, or fitness for purpose of any information provided.

We do not guarantee any specific earnings, follower growth, brand deals, or career outcomes from participation in our programs. Results vary based on individual effort, platform conditions, and market factors.

Our total aggregate liability for any direct claims shall not exceed the amount paid by you to us (if any) in the three months preceding the claim.

11 Termination

Either party may terminate participation in a Riwe Media program at any time by providing written notice via email, unless otherwise specified in an individual agreement.

We reserve the right to immediately suspend or terminate your access to our services — without prior notice — if you:

• Breach any provision of these Terms.
• Provide false or misleading information.
• Engage in conduct that is harmful to the Company, other creators, or third parties.
• Fail to comply with any applicable laws or the terms of third-party platforms.

Upon termination, any outstanding payments that have been legitimately earned and verified will be processed in accordance with the payment terms of your individual agreement.

12 Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or your use of our services shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached within 30 days, disputes shall be submitted to binding arbitration in Sheridan County, Wyoming, in accordance with the rules of the American Arbitration Association.

Nothing in this clause prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction.

13 Changes to These Terms

Riwe Media LLC reserves the right to update or modify these Terms at any time. Changes will be effective upon posting the updated version to this page, with the "Last updated" date revised accordingly.

We encourage you to review these Terms periodically. Continued use of our website or services after changes are posted constitutes your acceptance of the updated Terms.

For material changes, we will make reasonable efforts to notify active program participants by email.
